In addition to the agreements normally concluded, the only essential agreements concluded in FY2012 or before FY2012 are as follows: the registrant has adopted a Code of Ethics and Ethics that applies to all employees and senior managers. including the Principal Executive Officer, principal financial officer and principal accounting officer. The Code of Ethics is available on the website of the www.gildan.com/corporate/IR/corporateGovernance.cfm registrants and is available free of charge on paper for each shareholder who requests it. In November 2003, we joined the FLA as a participating company. The FLA is internationally recognized and respected as a non-profit organization, whose objective is to promote compliance with international labor standards and improve the working conditions of employees worldwide. In fiscal year 2007, the FLA granted accreditation status to our working compliance program. In addition to free trade agreements between the different countries of the European Union, the European Union also has preferential trade agreements with other European countries and with countries outside Europe. For example, the European Union is establishing a Generalised System of Preferences (GSP) and the Africa-Caribbean-Pacific programmes allowing duty-free imports into the European Union of qualified items, including clothing, from developing countries such as Honduras and Nicaragua and from least developed countries, including Haiti. Recent changes to the reform of certain provisions of the GSP, including rules of origin, have not yet entered into force. The new provisions will further improve duty-free access to the European Union for skilled clothing items, possibly including clothing items from Pakistan, which could have a negative impact on our competitive position in the European Union. The registrant has no obligations that are not reflected in its balance sheets, with the exception of the leases and other purchase obligations listed in the table of contractual commitments on page 25 of its Discussion and Analysis management (see Figure 99.1) (MD&A).

As set out in Note 25(c) to the consolidated accounts of registrants (see Annex 99.2), the notifier issued, as at 30 September 2012, corporate guarantees, irrevocable standby obligations and guarantee obligations, mainly from various service agreements in the amount of $16.5 million. The United States, Canada and Mexico have implemented several free trade agreements and trade preference programs to improve trade with certain countries. There are a number of regional free trade and trade preference agreements, such as CAFTA-DR, the Caribbean Basin Trade Partnership Act and the Haitian Hemispheric Opportunity through Partnership Encouragement Act (HOPE), which allow duty-free access to certain markets in industrialized countries for skilled textiles and clothing from participating countries. Gildan employs more than 30,000 people worldwide. In the past, the company has been able to work productively at all of its production sites without there being significant work interruptions such as strikes or work stoppages. . . .
